General Terms

The following are the terms and conditions (the "Terms") for use of Santander Consumer USA web site, mobile application, and any applicable software products and associated documentation we may provide through those web sites and mobile applications, or to use the products, services or functionality offered through those web sites and mobile applications (the "Online Service"). As used herein, the terms "us," "we," or "our" means Santander Consumer USA Inc., Chrysler Capital and RoadLoans.com ,and any agent, independent contractor, designee, or assignee the we may, at our sole discretion, involve in the provision of the online service; "you" or "your" means (1) an individual or entity that is the owner of an account or a party-in-interest to an account (such as a co-borrower, or co-lessee) or (2) an individual authorized by an account owner or a party-in-interest to view account information and/or effect transactions in an account.

1. Agreement

When you use or access, or permit any other person(s) or entity to use or access the Online Service, or download or use any software, you agree to the provisions of these Terms. We may amend or change these Terms (including applicable fees and service charges) from time to time, at our sole discretion, by sending you written notice by electronic mail or by regular mail or by posting the updated terms on the sites within the Online Service. Please access and review these Terms regularly. If you find the Terms unacceptable to you at any time, please discontinue your use of the Online Service. Your use of the Online Service after we have made such changes available will be considered your agreement to the change.

The Online Service is an online financial services web site offering a variety of content, products and services. We grant to you, for your personal or internal business purposes only, a non-exclusive, non-transferable limited and revocable right to access and use the Online Service as well as any software in object code. Any software provided through the Online Service must be downloaded by you in the United States. You agree not to use the Online Service for any other purpose, including commercial purposes, such as co-branding, framing linking, or reselling any portion of the Online Service without our prior written consent. You agree not to attempt to log on to the Online Service from any country under sanctions by the Office of Foreign Assets Control (OFAC). Information regarding which countries are under sanctions may be obtained on the U.S. Department of the Treasury web site. Any attempt to log on to the Online Service from one of these countries may result in your access being restricted and/or terminated.

2. Hardware and Software Requirements

Before you decide to access and use the Online Service and receive documents electronically, you must determine if you have the necessary hardware and software described below to access and retain the Documents. To access the Online Service and receive documents, you will need a working email address, Adobe Acrobat Reader or similar software capable of reproducing pdf format documents, and a computer or other access device that can access the Internet using a web browser. To retain the documents, the computer or access device must allow you to download and save documents to a hard drive or external storage media, print web pages as well as embedded HTML files, or both. You acknowledge that you are responsible for the data security of the systems used to access the Online Service, and for the transmission and receipt of information using such Systems. We are not responsible for any errors or problems that arise from the malfunction or failure of the Internet or your access devices.

3. Passwords

To prevent unauthorized access to your accounts and to prevent unauthorized use of the Online Service, you agree to protect and keep confidential your account number, User ID, password, or other means of accessing your accounts via the Online Service. The loss, theft, or unauthorized use of your account numbers, User IDs, and passwords could permit unauthorized persons to gain access to your sensitive personal and account information and to use that information for fraudulent purposes, including identity theft. If you disclose your account numbers, User IDs, and/or passwords to any person(s) or entity, you assume all risks and losses associated with such disclosure. You assume all risks and losses associated with the loss, theft, or unauthorized use of your account numbers, User IDs, and passwords. If you believe someone may attempt to use or has used the Online Service without your permission, or that any other unauthorized use or security breach has occurred, you agree to immediately notify us at 1-888-222-4227

4. New Features

We may, from time to time, introduce new features to the Online Service or modify or delete existing features in our sole discretion. We shall notify you of any of these changes to features if we are legally required to do so. By using any new or modified features when they become available, you agree to be bound by the rules concerning these features.

5. Santander Consumer USA Web Site Use

You may print, copy and download any information or portion of Santander Consumer USA 's Web site for your personal use only. You may not collect or store personal data about other users. You will not upload, post, email, or otherwise transmit any advertising or promotional materials, including without limitation, "junk mail," "surveys," "spam," "chain letters," "pyramid schemes," or any other form of solicitation or unauthorized communication. You will not use any electronic communication feature of the Web site for any purpose that is unlawful, tortious, abusive, intrusive on another's privacy, harassing, libelous, defamatory, embarrassing, obscene, threatening, or hateful. Unauthorized use of this Web site and or any Santander Consumer USA systems, including, but not limited to, unauthorized entry into Santander Consumer USA systems, misuse of passwords or misuse of any other information, is strictly prohibited. You may not use this Web site in any manner that could damage, disable, overburden, or impair any Santander Consumer USA site or service or interfere with any other party's use and enjoyment of any Santander Consumer USA site or service, including uploading, posting, emailing, or otherwise transmitting any material that contains viruses or any other computer code, files, or programs which might interrupt, limit, or interfere with the functionality of any computer software or hardware or telecommunications equipment. You may not attempt to gain unauthorized access to any Santander Consumer USA site or service, computer systems or networks connected to any Santander Consumer USA site or service, through hacking, password mining or any other means. You agree that you will not engage in any activities related to this Web site that are contrary to applicable laws or regulations.

Santander Consumer USA reserves the right, in its sole discretion, without any obligation and without any notice requirement, to change, improve or correct the information, materials and descriptions on this Web site and to suspend and/or deny access to this Web site for scheduled or unscheduled maintenance, upgrades, improvements or corrections. The information and materials on this Web site may contain typographical errors or inaccuracies. Any dated information is published as of its date only, and Santander Consumer USA does not undertake any obligation or responsibility to update or amend any such information. Santander Consumer USA may discontinue or change any product or service described in or offered on this Web site at any time.

6. Santander Consumer USA Mobile Service Use

You may not modify, copy, distribute, transmit, display, perform, reproduce, publish, license, frame, create derivative works from, transfer, or otherwise use in any other way for commercial or public purposes in whole or in part any information, software, products or services obtained from this Mobile Service, except for the purposes expressly provided herein, without Santander Consumer USA prior written approval. Unauthorized use of this Mobile Service and or any of our systems, including, but not limited to, unauthorized entry into our systems, misuse of passwords or misuse of any other information, is strictly prohibited. You may not use this Mobile Service in any manner that could damage, disable, overburden, or impair any site or service or interfere with any other party's use and enjoyment of any Santander Consumer USA site or service. You may not attempt to gain unauthorized access to any Santander Consumer USA site or service, computer systems or networks connected to any Santander Consumer USA site or service, through hacking, password mining or any other means. You agree that you will not engage in any activities related to this Mobile Service that are contrary to applicable laws or regulations.

You also agree not to use this Mobile Service or the content or information delivered through the Mobile Service in any way that would violate any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising) or in a manner that is false, misleading or inaccurate.

7. Termination

We may terminate or suspend these Terms, or terminate, suspend or limit your access privileges to the Online Service, in whole or part, at any time for any reason without prior notice, including but not limited to, your failure to access the Online Service for a period of three (3) months or greater. The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of these Terms for all purposes. Upon termination, you shall immediately discontinue use of the Online Service and delete any applicable copies.

8. Arbitration

READ THIS ARBITRATION PROVISION CAREFULLY. IF YOU DO NOT REJECT THIS ARBITRATION PROVISION IN ACCORDANCE WITH PARAGRAPH A BELOW, IT WILL BE PART OF THIS AGREEMENT AND WILL HAVE A SUBSTANTIAL IMPACT ON THE WAY YOU OR WE WILL RESOLVE ANY CLAIM WHICH YOU OR WE HAVE AGAINST EACH OTHER NOW OR IN THE FUTURE.

As additional consideration for Santander Consumer USA agreement to modify the terms of your Contract as set forth above and forbear from exercising its remedies under the Contract, you and Santander Consumer USA agree that upon written request by either party that is submitted according to the rules for arbitration, any Claim, except those specified below, shall be resolved by binding arbitration in accordance with (i) the Federal Arbitration Act, (ii) the Rules of the chosen Administrator, and (iii) this Arbitration Provision.

(a) Parties Subject to Arbitration. Solely as used in this Arbitration Provision (and not elsewhere in this Agreement)), the terms "we," "us" and our" mean: (i) Santander Consumer USA and any parent company, affiliated company, employees, officers, directors, agents, representatives, successors, heirs and assigns of Santander ("Santander Parties"); and (ii) any other person or company that provides any services in connection with your account(s) with Santander Consumer USA if you assert a Claim against such other person or company at the same time you assert a Claim against any Santander Party.

(b) Claims Covered. "Claim" means any claim, dispute, or controversy now or hereafter existing between you and us, including without limitation, any claims arising out of, in connection with, or relating to the your account with us, any prior agreement or account with Santander Consumer USA, the Contract, and any modification, extension, application, or inquiry of credit or forbearance of payment; any use of our sites or mobile apps; any trade-in of a vehicle; any products, goods and/or services, including the installation thereof, purchased in connection with the Contract; any insurance, service contract, extended warranty, auto club membership or debt cancellation agreement purchased in connection with the Contract; the closing, servicing, collecting or enforcing of the Contract; whether the claim or dispute must be arbitrated; this Agreement, except as relates to the class action waiver contained in Paragraph e below, the validity and effect of the class action waiver may be determined only by a court and not by an arbitrator; any negotiations between you and us; any claim or dispute based on an allegation of fraud or misrepresentation, including without limitation, fraud in the inducement of this or any other agreement; and any claim or dispute based on state or federal law, or an alleged tort. You and we also agree to submit to final, binding arbitration any claim or dispute that you or we have against all persons and/or entities (i) who are involved with the Contract, (ii) who signed or executed any document relating to the Contract or any Claim, and (iii) who may be jointly or severally liable to either you or us regarding any Claim.

EXCLUSION FROM ARBITRATION. The following type of matters will not be arbitrated:

Any Claim where all parties collectively (including multiple named parties) seek, in the aggregate, $15,000 or less in total monetary relief, including but not limited to compensatory, statutory and punitive damages, restitution, disgorgement, and costs and fees (including attorney's fees); or any Claims brought in a small claims court. If you attempt to assert any Claim on behalf of a putative class of persons, in violation of other terms in this Agreement, the value of such Claim will, for purposes of this exclusion, be deemed to exceed $15,000. If any party fails to specify the amount being sought for any relief, or any form or component of relief, the amount being sought shall, for purposes of this exclusion, be deemed to exceed $15,000.

Participation in a lawsuit or seeking enforcement of this section by a court shall not waive the right to arbitrate.

(c) Court and Jury Trials Prohibited; Other Limitations on Legal Rights. IF YOU OR WE ELECT TO ARBITRATE A CLAIM, YOU WILL NOT HAVE THE RIGHT TO PURSUE THAT CLAIM IN COURT OR HAVE A JURY DECIDE THE CLAIM. ALSO YOUR ABILITY TO OBTAIN INFORMATION FROM US IS MORE LIMITED IN AN ARBITRATION THAN IN A LAWSUIT. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO NOT BE AVAILABLE IN ARBITRATION.

(d) Prohibitions Against Certain Proceedings. IF YOU OR WE ELECT TO ARBITRATE A CLAIM: (i) NEITHER YOU NOR WE MAY PARTICIPATE IN A CLASS ACTION IN COURT OR IN CLASS-WIDE ARBITRATION, EITHER AS A PLAINTIFF, DEFENDANT OR CLASS MEMBER; (ii)NEITHER YOU NOR WE MAY ACT AS A PRIVATE ATTORNEY GENERAL IN COURT OR IN ARBITRATION; (iii) CLAIMS BROUGHT BY OR AGAINST YOU MAY NOT BE JOINED OR CONSOLIDATED WITH CLAIMS BROUGHT BY OR AGAINST ANY OTHER PERSON; AND (iv) THE ARBITRATOR SHALL HAVE NO POWER OR AUTHORITY TO CONDUCT A CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY GENERAL ARBITRATION OR MULTIPLE PARTY ARBITRATION.

(e) Commencing Arbitration. The party initiating arbitration must choose one of the following arbitration Administrators and follow the rules and procedures that govern disputes established by the chosen Administrator ("Rules"): (1) American Arbitration Association, 335 Madison Avenue, New York, NY 10017-4605, www.adr.org, or (2) National Arbitration Forum, P.O. Box 50191, Minneapolis, MN 55405, www.arbitration-forum.com. The Rules and a form of demand for arbitration are available from each Administrator. Santander Consumer USA or you may bring an action, including a summary or expedited proceeding, to compel arbitration of any Claim, and/or to stay the litigation of any Claim pending arbitration, in any court having jurisdiction. Such action may be brought at any time, even if a Claim is part of a lawsuit, up until the entry of a final judgment.

(f) Place of Arbitration. Arbitration shall be conducted in the county of your residence, unless all parties agree to another location.

(g) Governing Law. The Federal Arbitration Act, 9 U.S.C. §§ 1 et seq., shall govern this arbitration provision. The arbitrator shall make his or her decision in accordance with applicable substantive law consistent with the Federal Arbitration Act and applicable statutes of limitations, and shall be empowered to award any damages or other relief provided for under applicable law. Judgment upon any arbitration award may be entered in any court having jurisdiction. If any part or provision in this Agreement is determined to be unenforceable, void, illegal or otherwise against applicable law, it shall not impair or affect the enforceability of the other terms or provisions in this Agreement. We do not give up any of our rights by delaying or failing to exercise them on any one or more occasions.

(h) Costs of Arbitration. Santander Consumer USA will advance any arbitration filing fee, administrative fee, and hearing fee, which you are required to pay to pursue a Claim in arbitration, if you are unable to pay the filing fees and you tell Santander Consumer USA in writing that you are unable to pay such filing fees. The arbitrator will decide who will be ultimately responsible for paying those fees. In no event will you be required to reimburse Santander Consumer USA for any arbitration filing, administrative or hearing fees in an amount greater than what your court costs would have been if the Claim had been resolved in a court having jurisdiction. There may be other expenses during arbitration, such as attorney’s fees, costs of travel to the arbitration, experts and witnesses. The applicable arbitration Rules will determine who will pay such amounts. If there are no such rules, each party will bear their own expenses. Santander Consumer USA will also pay amounts that the arbitrator determines that must be paid to assure the enforceability of this Arbitration Clause.

(i) Right to Discovery. In addition to the parties' rights to obtain discovery pursuant to the arbitration rules of the Administrator, either party may submit a written request to the arbitrator to expand the scope of discovery normally allowable under the rules of the Administrator. The arbitrator shall have discretion to grant or deny that request.

(j) Arbitration Result and Right of Appeal. The arbitrator's decision is final and binding, except for any right to appeal provided by the Federal Arbitration Act. However, if the total amount of the Claim exceeds $50,000 or involves a request for injunctive or declaratory relief that could foreseeably involve a cost or benefit to either party exceeding $50,000, any party can, within thirty (30) days after the entry of the award by the arbitrator, appeal the award to a three arbitrator panel administered by the Administrator. The panel shall reconsider denovo any aspect of the initial award requested by the appealing party. The decision of the panel shall be by majority vote. Reference in this Arbitration Provision to "the arbitrator" shall mean the panel if an appeal of the arbitrator's decision has been taken. The costs of such an appeal shall be borne by the appealing party.

(k) Conflicts. To the extent that you have signed another agreement(s) with an arbitration provision ("Other Arbitration Provisions") that may apply to Claims, the Arbitration provision of this Agreement shall control and supersede the Other Arbitration Provisions with respect to Claims.

(l) Other Important Agreements. This Agreement applies even if the Contract has been paid in full, charged-off by Santander Consumer USA, or discharged in bankruptcy. If any part of this Agreement or the arbitration Rules is determined to be invalid or unenforceable other than the class action waiver, it shall not impair or affect the enforceability of the other terms of this Agreement, the arbitration Rules, or the Contract. If the class action waiver is invalid or unenforceable, the rest of this Arbitration Provision shall be unenforceable. In the event of a conflict or inconsistency between this Agreement and the arbitration Rules or the other provisions of the Contract, this Agreement shall govern.

MISCELLANEOUS. In the event of any conflict between any provision of this Agreement and any provision of the Contract, the provisions of this Agreement shall control. This Agreement shall not be construed to be a satisfaction, novation or partial or total release of the Contract. This Agreement may be executed in one or more counterparts, each of which when so executed shall be deemed to be an original. This Agreement may be executed by facsimile signatures, and shall be valid and binding on any party signing this Agreement in such fashion.

9. Indemnity

You acknowledge and agree that you are personally responsible for your conduct while using the Online Service and agree to indemnify and hold us and our officers, managers, employees and agents harmless from and against any loss, damage, liability, cost or expense of any kind (including, but not limited to, reasonable attorneys' fees) that we may incur in connection with a third party claim or otherwise, in relation to your use of the Online Service or the use of the Online Service by anyone using your account number, User ID or password or your violation of these Terms or the rights of any third party (including, but not limited to, privacy rights).

10. Special Provision for Business Customers

Any User ID or password we provide to you is provided to you in your capacity as a representative of the business entity registered with the Online Service only, and may not be retained by you after any termination of your relationship with such business entity. You agree to inform us immediately if a person with access to a password leaves the employ of the entity to which that password has been assigned.

11. Links to Third-Party Sites

This site contains external hyperlinks to other Internet sites maintained by third parties over which Santander Consumer USA has no control. Santander Consumer USA provides these links to you only as a convenience. The appearance of external hyperlinks does not constitute endorsement by Santander Consumer USA of the linked websites, or the information, products or services contained therein. Santander Consumer USA inclusion of a link or hyperlink on this website does not imply Santander Consumer USA endorsement, warranty, or guarantee of the linked website, nor does Santander Consumer USA accept any responsibility for the content, or the use, of any linked websites or any of the products, services or information described or offered at these linked websites. Any transaction(s) that you initiated, were in the process of completing, or completed shortly before a system failure or interruption should be verified by you through means other than online to ensure the accuracy and completeness of such transaction(s). You assume the risk of loss of your data during any system failure or interruption and the responsibility to verify the accuracy and completeness of any transaction(s) so affected. Your ability to access the Online Service may be limited during periods of high volume, systems upgrades and maintenance or for other reasons. If the Online Service is not available for transactions, or if conditions render its use inappropriate, you agree to use alternative means to place your orders, such as calling 1-888-222-4227. We will not be liable to you if you are unable to access the Online Service or complete transactions through it.

13. Identity and Location Verification

You authorize us to request your mobile carrier to use your mobile subscriber details for verifying your identity. Those details may include, among others, name, billing address, email, and phone number.

14. Alerts and Mobile Text Services

If Santander Consumer USA offers Alerts and Mobile Text Services, there is no charge to send or receive text messages as part of our servicing process. However, message and data rates may apply. Please consult with your wireless carrier for applicable text messaging fees.

Supported mobile service providers include without limitation: Alltel (part of Verizon), Appalachian Wireless, AT&T, Bluegrass Cellular, Boost Mobile, Cellcom, Cellular One from Dobson (part of AT&T), Cellular One of East Central Illinois, Cellular South, Centennial Wireless, Cincinnati Bell, Cox Wireless, Immix Wireless, Nextel (part of Sprint), nTelos Wireless, Revol Wireless, Sprint, T-Mobile, Unicel, US Cellular, Verizon Wireless, Virgin Mobile USA, West Central Wireless.

We may modify or terminate our text messaging services from time to time for any reason and without notice, including the right to terminate text messaging without notice, without liability to you, any other user or a third party. We reserve the right to modify these Terms from time to time without notice. Please review these Terms from time to time so that you are timely notified of any changes.

Additionally, you agree that we may send any SMS Statement Notifications through your communication service provider in order to deliver them to you. You agree to provide a valid mobile phone number for these services. You further agree to indemnify, defend and hold us harmless from and against any and all claims, losses, liability, cost and expenses (including reasonable attorneys' fee) arising from your provision of a mobile phone number that is not your own or your violation of applicable federal, state or local law, regulation or ordinance. Your obligation under this paragraph shall survive termination of any agreement with Santander Consumer USA . SMS services are provided for your convenience only.

15. Account Information

Account information provided to you as part of the Online Service is not the official record of your account or its activity. Your account statement, furnished to you by us in a paper format, or electronically if you are enrolled in paperless statements service, will remain the official record. The Online Service information is generally updated regularly, but is subject to adjustment and correction and therefore should not be relied upon by you for taking, or forbearing to take, any action.
